A few months ago, Ledger has completed a $380 million Series C fundraising valuing the
company at more than $1.5 billion, to strengthen its position as the leading secure gateway to digital assets.
In this context of hypergrowth, Ledger intends to reinforce its Legal Department led by its
General Counsel in order to ensure high quality services in the context of a fast-growing
company.
As Corporate, M&A and Compliance Junior Legal Counsel, you will be a member of a team
composed by dynamic and talented lawyers, from different background (law firm & inhouse)
and various industries (fashion, consumer electronics, finance, fintech, digital content, etc.)
and will be exposed to thrilling topics in a fast moving and evolving blockchain and crypto
industry, where the story still needs to be written(e)
Under the supervision of the Legal Director Corporate, M&A and Compliance, you will be involved in all Corporate, M&A and Compliance matters concerning Ledger and its subsidiaries, while jump in on other topics and help other team members on other areas as the need may arise from time to time.
Missions
- Preparation and coordination of the meetings of the board of directors, the strategic
committee and the shareholders meetings (i.e., convene notices, attendance sheets,
management reports, minutes, coordination with the auditors and legal formalities).
- Handle the setting up of new entities as well as the day-to-day corporate management of
Ledger's French and foreign subsidiaries, including: approval of annual accounts, share
capital increases, change of governance, change of bylaws, delegation of powers, etc.
- Assistance with the various employee equity schemes in France and abroad (i.e., BSPCE,
BSA, free shares, stock-options, RSU, etc.): drafting of the legal and contractual documentation and monitoring of periodic allocations.
- Handle the update of Ledger's share transfer registers/ shareholders' individual accounts
and capitalization table via available tools.
- Drafting intragroup agreements and delegation of powers.
- Assistance in the context of the next fundraisings.
- Assistance in the context of M&A and venture capital transactions.
- Assistance with the structuring and implementation of Ledger's Compliance policy.
- Review of service agreements relevant to the G&A functions (Finance, HR/Workplace,
Legal).
Qualification & skill sets:
- Master’s Degree in corporate law.
- Min 2 of relevant post-qualification legal experience including at an international law firm
or prior in-house experience (experience in a scale-up would be a great plus).
- Fluent in both French and English.
- Exceptional communication skills, both verbal and written.
- Proven ability to independently lead and execute all facets of challenging engagements with highest integrity and ethics.
- Collaborative team player with an ability to work independently and exercise sound
judgment.
- Ability to offer both practical and theoretical advice demonstrating knowledge of the
product and good business instincts.
- Highly organized, motivated, rigorous and detail oriented, ability to prioritize and multitask;
flexibility and adaptability in the workplace.
